1.     Acceptance of the Terms of Use

These terms of use are entered into by and between You and Apostolic Christian Church of America, and its corporate affiliates: Apostolic Christian Ministries, Apostolic Christian Bookstore (an assumed name of Apostolic Christian Ministries), Onward Media (an assumed name of Apostolic Christian Ministries), Elders Teaching Resource (a service of Apostolic Christian Ministries), The Learning Connection (a service of Apostolic Christian Ministries), Apostolic Christian HarvestCall and Apostolic Christian Counseling and Family Services (collectively, the “AC Entities,” “we,” “us,” or “our”), each a not for profit corporation incorporated in the state of Illinois, United States, and described as a public charity under section 501(c)(3) of the United States Internal Revenue Code.

The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use”) govern your access including any content, functionality, and services (collectively “Services”) offered on or through The Learning Connection portal, AC Central App, the AC Jobs portal, and includes your use of the materials, programs and brands on the following websites; Apostolic Christian Church of America (https://www.apostolicchristian.org), Apostolic Christian Ministries, Apostolic Christian Bookstore (https://www.acbookstore.org), Onward Media (https://www.onwardmedia.org), Elders Teaching Resource (https://www.eldersteachingresource.org), The Learning Connection (https://thelearningconnection.org), Apostolic Christian HarvestCall (https://www.harvestcall.org), AC Central (https://accentral.apostolicchristian.org), AC Jobs (https://jobs.apostolicchristian.org), and Apostolic Christian Counseling and Family Services (https://accounseling.org) (collectively "Website"), whether as a guest or a registered user.

Please read the Terms of Use carefully before you start to use the Website or Services. By using the Website or Services or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use, and our Community Guidelines, Privacy Policy, and Notice of Privacy Practices, applicable only to Apostolic Christian Counseling and Family Services, found at &URL&, incorporated herein by reference. In the event of any discrepancy between these Terms of Use, the Community Guidelines, our Privacy Policy, and the Notice of Privacy Practices, the following hierarchy of documents shall govern: (1) Notice of Privacy Practices, if applicable, (2) Privacy Policy, (3) Terms of Use, and (4) Community Guidelines. If you do not want to agree to these Terms of Use, Community Guidelines, Privacy Policy, or the Notice of Privacy Practices, if applicable, you must not access or use the Website.

2.     Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website or Services thereafter.

3.     Accessing the Website or Services and Account Security

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, or the Services in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website or Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website or Services, or the entire Website and Services to users, including registered users.

To access the Website or some of the resources it offers or the Services, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website and Services that all the information you provide on the Website and through the Services is correct, current, and complete. You agree that all information you provide to register with this Website and through the Services or otherwise, including, but not limited to, through the use of any interactive features on the Website or Services, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it or Services using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Registered User Agreement

Data Sharing

If you are an AC Central Account holder using The Learning Connection, you agree to personal data being shared between the two applications including but not limited to: name, email, birth date, postal address and roles in the Apostolic Christian Church.

Privacy in Group

The Learning Connection is intended to provide a platform to help individuals connect with mentors, helpers and each other on specific topical growth areas. It is NOT intended to provide clinical counseling to any one individual or group of individuals. Groups are formed on their own volition with minimal interactions with Learning Connection. By using The Learning Connection, you agree to honor confidentiality within the group.

Site Security

The Learning Connection application uses a password to safeguard your information. However, this site is not HIPPA secure or encrypted. Therefore, Learning Connection cannot and does not guarantee the privacy of any of the information shared on this site.

4.     Sales and Subscriptions

All purchases through our Website or Services or other transactions for the sale of goods or services or information formed through the Website or Services are governed by the following terms and conditions. You should review these terms and conditions prior to purchasing any product or services that are available through the Website or Services. Your continued use of the Website or the Services after the "Last Modified" date will constitute your acceptance of and agreement to such changes. You should also carefully review our Privacy Policy before placing an order for products or services through this Website or Services.

a.     Performance of Services. You agree to (i) cooperate with us in all matters relating to the Services; (ii) respond promptly to any of our requests to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for us to perform Services in accordance with the requirements of this Agreement; (iii) provide such customer information as we may request and you consider reasonably necessary to carry out the Services in a timely manner.

b.     Your Acts or Omissions. If our performance of our obligations under this Agreement is prevented or delayed by any act or omission of you or your agents, subcontractors, consultants, or employees, we shall not be deemed in breach of our obligations under this Agreement or otherwise liable for any costs, charges, or losses sustained or incurred by you, in each case, to the extent arising directly or indirectly from such prevention or delay.

c.      Price.

i.               You agree to purchase the Services from us at the price[s] (the "Price[s]") set forth in our published price list in force as of your purchase of the Services.

ii.              Prices posted on the Website or Services may be different than prices offered by us through other sales channels. All prices, discounts, and promotions posted on the Website or Services are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. 

iii.            We strive to display accurate price information, however we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

iv.             All Prices are exclusive of all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any Governmental Authority on any amounts payable by you, as well as handling charges and shipping charges. You agree to be responsible for all such charges, costs and taxes.

d.     Payment Terms.

                        i.         You agree to pay all invoiced amounts due to us on receipt of our online invoice (“Sales Confirmation”). You agree to make all payments according to such terms and conditions as we provide to you at the point of sale and in US dollars.

                       ii.         We accept payment by approved credit cards and other approved forms of electronic payment for all purchases. We will notify you of approved electronic payment options at the point of sale. 

                     iii.         You agree to not withhold payment of any amounts due and payable by reason of any set-off of any claim or dispute with us, whether relating to your breach, bankruptcy or otherwise.

e.     Returns and Refunds.

               i.         Except for any products designated on a Website as final sale or non-returnable, we will accept a return of the products for a refund of your purchase price, less the original shipping and handling costs, provided such return is made within thirty (30) days of delivery provided such products are returned in their original condition. Please return the merchandise to the place it was purchased from with a copy of the invoice or packing list and your reason for return, and we will refund the purchase price. 

              ii.         Refunds are processed within approximately five (5) business days of our receipt of your merchandise. Your refund, less any applicable restocking fee, will be credited back to the same payment method used to make the original purchase on the Site. WE OFFER NO REFUNDS ON ANY PRODUCTS DESIGNATED ON THIS SITE AS “AS-IS”.

5.     AC Entities Intellectual Property Rights

The Website and Services, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), The Learning Connection portal, the AC Central App, and the AC Jobs portal, are owned by the AC Entities, its licensors, or other providers of such material and are protected by the United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  These Terms of Use permit you to use the Website and Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes. 
• You may print or download one copy of the Website or Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
• If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

• Modify copies of any materials from this site or service.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site or service.

The AC Entities name, the terms and all related names, logos, product and service names, designs, and slogans are trademarks of the AC Entities or their affiliates or licensors. You must not use such marks without the prior written permission of the AC Entities. All other names, logos, product and service names, designs, and slogans on this Website, in The Learning Connection portal, the AC Central App, and AC Job portal are the trademarks of their respective owners.

6.     Prohibited Uses

You may use the Website and the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website or Services:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries). 
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To send, knowingly receive, upload, download, use, or re-use any materials, whether in audio, video, graphic, written, or any other medium, or to communicate verbally or visually in any way that does not comply with the Community Guidelines, located &LINK& and as set out in these Terms of Use.
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the AC Entities, an AC Entities employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website or Services, or which, as determined by us, may harm the AC Entities or users of the Website or Services, or expose them to liability.

Additionally, you agree not to:

• Use the Website or Services in any manner that could disable, overburden, damage, or impair the Website or Services or interfere with any other party's use of the Website or Services, including their ability to engage in real time activities through the Website or Services.
• Use any robot, spider, or other automatic device, process, or means to access the Website or Services for any purpose, including monitoring or copying any of the material on the Website or Services.
• Use any manual process to monitor or copy any of the material on the Website or Services, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Website or Services.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website or Services, the server on which the Website or Services are stored, or any server, computer, or database connected to the Website or Services.
• Attack the Website or Services via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Website or Services.

7.     User Contributions

The Website and Services may contain message boards, job boards, forums, audio files, video files, profiles, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content and materials (collectively, "User Contributions") on or through the Website or Services. All User Contributions must comply with the Community Guidelines, found at &LINK& and as set out in these Terms of Use in this Section 7. Any User Contribution you post to the site, or which may be utilized on the AC Entities’ social media channels, such as Facebook, YouTube, and other social media channels (collectively "Social Media"), the Website, the Services, and the Interactive Services, will be considered non-confidential and non-proprietary. By providing any User Contribution on the AC Entities' Website or Services, its Interactive Services, or its Social Media, you grant to the AC Entities and its affiliates, and each of their respective permitted sublicensees, successors, and assigns (each, a "Licensee") a royalty-free, nonexclusive, perpetual and irrevocable, freely transferable and sublicensable right and license throughout the world to use the User Contributions, as defined in this Section 7 herein, in all formats and media, whether now known or existing or hereafter discovered or developed, for all or any purposes whatsoever. For purposes of clarity and without limiting the foregoing, You acknowledge and agree that the rights and license granted to Licensee under this Agreement include Licensee's rights: (a) to modify, edit, combine with other materials (including, but not limited to, in combination or conjunction with Licensor's name or any other name, or no name), translate, include in collective works, and create derivative works of the User Contributions in whole or in part (collectively, "Adapt", "Adapted", and "Adaptation" have correlative meanings); and (b) to reproduce, perform (publicly or otherwise), display (publicly or otherwise) and transmit the User Contributions, in whole or in part, as provided by Licensor or as Adapted for such purposes and uses as are permitted under this Section 7.

You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
• None of your User Contributions infringe on the intellectual property rights of any third party.
• All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the AC Entities, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. 

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other use of the Website or Services.

8.     Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion. 
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the AC Entities.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website or Services. 
• Terminate or suspend your access to all or part of the Website or Services for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website or Services.

You waive and hold harmless the AC Entities and its licensees and service providers from any claims resulting from any action taken by any of the foregoing parties during, or taken as a consequence of, investigations by either such parties or law enforcement authorities.

However, we do not undertake to review all material before it is posted on the Website and through the Services and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

9.     Copyright Infringement

If you believe that any User Contributions violate your copyright, please contact us for instructions on sending us a notice of copyright infringement. It is the policy of the AC Entities to terminate the user accounts of repeat infringers.

10.  Reliance on Information Posted

The information presented on or through the Website and Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website or Services, or by anyone who may be informed of any of its contents.

The Website and Services may include content provided by third parties, including comments, written materials, and other content related to AC Entity-provided materials (“Third-Party Related Materials”) provided by other students, organizations, companies, and/or users. All statements and/or opinions expressed in Third-Party Related Materials, including but not limited to content on third-party websites, all articles and responses to questions and other content, other than the content provided by the AC Entities, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not reflect the opinion of the AC Entities. We are not responsible, or liable to you or any third party, for the content or accuracy of the Third-Party Related Materials.

11.  Linking to the Website and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

This Website or Service may provide certain social media features that enable you to:

• Link from your own or certain third-party websites to certain content on this Website.
• Send emails or other communications with certain content, or links to certain content, on this Website or Service.
• Cause limited portions of content on this Website to be displayed or appear to be displayed on your own or certain third-party websites.

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Website or Services will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. Neither the AC Entities nor any person associated with the AC Entities makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Website or Services. Without limiting the foregoing, neither the AC Entities nor anyone associated with the AC Entities represents or warrants that the Website or Services, their content, or any services or items obtained through the Website or Services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our site or the service that makes it available are free of viruses or other harmful components, or that the Website or Services or any services or items obtained though the Website or Services will otherwise meet your needs or expectations. 

To the fullest extent permitted by law, the AC Entities hereby disclaim all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

13.  Indemnification

You agree to defend, indemnify, and hold harmless the AC Entities, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms of Use or your use of the Website and Services, including, but not limited to, your User Contributions, including but not limited to, any claims of intellectual property infringement, any use of the Website’s and Services’ content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website.

14.  Governing Law and Jurisdiction

All matters relating to the Website and Services and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Illinois without giving effect to any choice or conflict of law provision or rule (whether of the State of Illinois or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website and Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Illinois in each case located in the City of Chicago and County of Cook.

15.  Force Majeure

We shall not be liable or responsible to you, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control.

16.  Waiver and Severability 

No waiver by the AC Entities of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the AC Entities to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

17.  Entire Agreement

The Terms of Use, and our Privacy Policy, Notice of Privacy Practices, and Community Guidelines constitute the sole and entire agreement between you and the AC Entities regarding the Website and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and Services.
